Limited liability companies are basically those organizations which may have one or more members. The members of the limited liability company are not liable for any kind of debts incurred by the company even if the company goes bankrupt. The name of LLC should contain the member or manager's name. 4. The name should not be identical to the name of any LLC earlier registered with the Secretary of State. 5. The street address of the office in the commonwealth at which the records are maintained. 6. The general business character and if the limited liability company is organized for rendering a professional service, the service to be rendered, the name and address of every member rendering the service in the commonwealth. A statement that the limited liability company will abide by and be subject to the provisions of liability insurance company should also be there. 7. The latest date of the dissolution if specified. 8. The address and name of business, of the agents for service of process. 9. The name and address of the business if different from the office area of each member. 10. The registration may include the name and address of the business and any other information the authorized persons want to include therein.

The certificate must be signed by the individual forming the limited liability company. The limited liability company is formed at the time of filing of the certificate of organization with the corporate division or at any later time specified in the certificate of organization. The fee for filing a limited liability company certificate of registration is $500.
